Pondapple Maintenance Association
Unofficial Annual Meeting Notes
March 31, 2004

This year, the annual meeting actually "took place"! It was still pretty sketchily attended, but because many people sent in their ballots & proxies, we had a quorum, which was a Good Thing&trade. So thank you, thank you, thank you.

For you procedural sticklers: In the absence of neighborhood association covenants to the contrary, Florida Statute 720 says that without a quorum, there can be no annual meeting. But it also says without a meeting, there can be no elections! By changing the By-Laws this past year, the outgoing Board made it possible for elections to be held without an annual meeting, the sole requirement for elections being that 20% of the total possible ballots be actually cast. Fortunately, we didn't need the exception this year, since we had a real, honest-to-goodness quorum! 40 homeowners were present at the meeting. 12 mailed in their ballots. 15 were not present, but gave their ballots to neighbors, to take to the meeting. Total: 67, out of 119 homeowners. There, now you know!

At the meeting, 3 board members tendered letters of resignation, leaving 5 vacant board seats rather than the 2 previously expected!
A motion was made to (i) use the ballots as given to attempt to select 5 board members rather than 2, (ii) assuming that fewer than 5 persons were actually voted-for, to resort to appointment by elected members to fill vacant seats, (iii) to assign the 3 most-voted-for persons the 2-year terms which had expired/resigned and the 2 next-most-voted-for persons the 1-year terms. Discussion ensued, and this method was approved by vote of the quorum, since it was more representative of the members' wishes than the procedural alternative, namely electing 2 persons as scheduled, then asking them to appoint the other three as required. The resulting ballot count yielded election for Bianca Autori, Norton Klotz, and Vichate Ungvichian to 2-year terms, and Duke Kotchek and David Levy for 1-year terms. Then a Board Meeting was convened and certain required business was transacted: electing officers, and banking resolution (2 signatures required on any checks, of the 4 officers). The officers are:
President VJ
Vice-President  Bianca
Secretary Norton
Treasurer David

Then various concerns were heard from the members present, consisting of: The new board responded on certain issues that were in progress, and promised to examine each issue in turn at their first meeting. A proposed color scheme for new painting was visible for presentation, but not discussed due to the intense discussion on the other issues. One member (who works for the city) encouraged members to investigate the potential benefits of annexation into Boca Raton.
